1. Who this is between

This agreement is between Capco Capital LLC ("Capco Capital", "we") and you, the referral partner. Capco Capital LLC is a commercial lending advisor. We are not a lender: we advise business owners and arrange financing through our lender network.

2. What you do: introduce, nothing more

You introduce business owners who may need commercial, business-purpose financing. That is the whole job. You do not negotiate loan terms, quote rates, obtain or present loan offers, give credit or financial advice, take applications or documents, or promise anyone an approval. You never collect a fee, deposit or anything else of value from a borrower. You are not our employee, agent or broker, and you don't speak for us.

3. Permission to contact

Before you send us a business, the owner must have agreed to be contacted by Capco Capital LLC about financing. Each time you refer a business you confirm that they did. We contact them ourselves; your introduction is not marketing consent for anything else.

4. Your referral fee

Capco Capital LLC pays a referral fee only when a deal you introduced actually funds, and only after we have been paid. The amount follows the fee schedule we set with you and show in your partner portal. Any estimate shown before a deal funds is only an estimate: the fee is figured from what we are actually paid. No fee is owed on a deal that doesn't fund, and fees apply to commercial, business-purpose financing only, never to residential mortgages or any real-estate transaction. Where a state's law doesn't allow a fee to an unlicensed referrer on a particular loan, no fee applies to that loan. Any fee paid is disclosed to the borrower. We pay fees only once we have a current, signed Form W-9 from you on record (renewed every 12 months); earned fees wait for it.

5. Keeping the fee clean

You confirm you aren't making an introduction as an officer, employee, agent or attorney of a bank, credit union or other financial institution for the business you refer. If you are, tell us: that introduction belongs in our bank lane, where no fee applies to anyone. If you work for someone else, you have your employer's written consent to receive this fee. If you sell the equipment or service being financed, the fee is never added to your price, and if a lender also pays you a dealer reserve on the deal, tell us so both are disclosed, or no fee applies. If you sell insurance, the fee is never tied to an insurance sale, and your client stays free to buy any insurance a lender requires from any agent they choose. If you prepare tax returns, never send us a client's tax return information without their signed consent under IRC § 7216; the easiest path is for your client to upload documents to us directly.

6. Where we work

We arrange financing nationwide except California. Please don't refer California businesses: we will decline them, and no fee applies.

7. Your portal

Your partner portal shows the businesses you referred, where each one stands, the deal size, the property address on real-estate deals, and your fee. The borrower's financials, documents, credit and lender details stay private between them and us, and are never shared with you. Keep what you see about a referred business confidential, and keep your sign-in to yourself.

8. Promotion rules

You may share Capco Capital content and your personal referral link wherever and as often as you like. Because you earn a fee, every post must clearly disclose it: keep the disclosure line we provide ("#ad · I earn a referral fee from Capco Capital if you're funded through my link.") where people will see it. You may add your own voice, but don't change what a post says about financing, and never state or imply rates, terms, approvals or guaranteed funding. Don't target or promote to California. Never collect anyone's financial information yourself; people apply with us directly. We may ask you to edit or remove a post that doesn't follow these rules.

9. Ending it

Either side can end this agreement at any time by telling the other in writing. A fee already earned on a deal that funded from your introduction is still paid.

Straight answers

Can I quote my customer a payment?

No. You make the introduction and we handle the financing conversation. Dealers never quote rates, payments or terms, and never obtain or present lender offers.

What if a lender pays me a dealer reserve too?

Then both payments are disclosed to your customer in writing. Our fee is never added to the equipment price or the amount financed.

Does this replace my captive or in-house financing?

No. Use it for the buyers your usual programs can't fit. We're another door, not a replacement.

When is the referral fee paid?

After a deal you introduced funds and we've been paid, with a current W-9 on file. Your portal shows an estimate while it's in the works, then earned, then paid.

Which businesses can I refer?

Businesses that need commercial, business-purpose financing, anywhere in the U.S. except California. Not residential mortgages or personal loans.
